1. Definitions
1.1GeoReady: the sole proprietorship GeoReady, based in Sliedrecht, the Netherlands, provider of the platform at geoready.nl.
1.2Customer: the business or organization that creates an account or takes out a subscription. An agency is a customer that uses GeoReady for its own clients.
1.3Service: GeoReady's online platform, including tracking, dashboards, actions, reports, live views, alerts, API and integrations.
1.4Plan: the subscription (Pro, Growth, Scale or Enterprise) with the limits and features shown on the pricing page. Add-ons extend a plan, such as tracking every weekday, precision tracking or an extra AI model.
1.5Prompt: a question GeoReady asks AI models on the customer's behalf. Data point: one prompt × one AI model × one tracking day.
1.6User: a person with their own login to the customer's account, including team members and an agency's client logins.
2. Scope and business use
2.1These terms apply to all use of the service and to every agreement between GeoReady and the customer. The customer's own terms do not apply, even if the customer refers to them.
2.2The service is intended exclusively for businesses and organizations acting in the course of their trade or profession. By creating an account you confirm that you act on behalf of such a business or organization and are authorized to bind it.
2.3The data processing agreement and the privacy policy on geoready.nl form part of the agreement. In case of conflict, the data processing agreement prevails over these terms where it concerns the processing of personal data.
3. The service
3.1On fixed tracking days, GeoReady asks the customer's prompts to the AI models included in the plan, through the providers' official APIs, and records the answers, mentions, sources and sentiment. From these, GeoReady calculates figures such as the GeoReady score and suggests actions.
3.2AI models give a different answer each time, each day and for each wording. Tracking is a sample of public AI answers at the time of tracking, not a guarantee of what an individual user of an AI model will see.
3.3Actions, example texts and expected effects are aids. GeoReady does not guarantee any particular visibility, position, revenue or other result. The customer decides whether and how to carry out an action.
3.4GeoReady may further develop the service: add, change or replace features, and change AI models or model versions when a provider changes or retires a model. GeoReady will announce in advance any change that materially limits a core feature of the plan; the customer may then cancel as of the end of the current period.
3.5Consulting, writing content or carrying out actions for the customer is not part of the service unless agreed in writing.
4. Account, users and access
4.1The customer provides accurate details at sign-up and keeps the business profile up to date. Prompts, competitors and actions are derived from it.
4.2Login details are personal. The customer ensures users keep their passwords secret and reports misuse to GeoReady immediately. Two-step verification is available and recommended.
4.3The customer is responsible for everything that happens with its account and by its users, and for the roles and permissions it grants them.
5. Acceptable use
5.1The customer uses the service only for lawful business purposes and in line with these terms and the usage policies of the AI providers.
5.2The customer may not: use the service for prompts that are unlawful, misleading or discriminatory or that contain personal data of private individuals; extract data from the service or API by automated means outside the documented API and limits; copy, decompile or rebuild the software; resell access outside the agency arrangement in article 8; or circumvent security or disrupt the service.
5.3In case of a breach, GeoReady may suspend access immediately and, if the breach is serious or does not stop within 7 days of a warning, terminate the agreement. The fee for the current period remains due.
6. Free trial
6.1A new customer can try GeoReady for 7 days with the limits shown on the pricing page. Some features are locked during the trial. The customer links a payment method at the start.
6.2After 7 days the trial automatically converts to the Pro plan at the monthly price then in effect, unless the customer cancels before the trial ends. Cancelling is possible in the app under Settings → Free trial or Subscription. Nothing is charged during the trial.
6.3A customer who cancels during the trial keeps read-only access to their data for 30 days, after which it is deleted. GeoReady may refuse or end a trial in case of misuse, such as repeated trial accounts for the same business.
7. Plans, data points, prices and payment
7.1Prices, limits and features per plan and add-on are as shown on the pricing page at the time of ordering. All prices exclude VAT.
7.2Subscriptions are invoiced in advance per period (month or year) and charged automatically through Stripe, by iDEAL, SEPA direct debit or card. The customer receives invoices by email and can find them in the app under Subscription.
7.3Each paid period includes the data points of the plan and selected add-ons. Unused data points carry over while the subscription runs. Data points have no cash value, are not transferable and expire when the agreement ends. When the data points run out, tracking pauses until the next period or a larger plan.
7.4An upgrade takes effect immediately; the customer pays the difference for the rest of the current period in advance. A downgrade or stopping an add-on takes effect at the end of the paid period. Add-ons are only available with monthly billing.
7.5If a payment fails, Stripe retries it and the customer is notified. While the payment is outstanding, tracking is paused. If payment has not been made after 14 days, GeoReady may end the subscription. Statutory commercial interest is due on outstanding amounts.
7.6GeoReady may change prices. GeoReady will announce an increase at least 30 days in advance by email; it applies from the next period. The customer may cancel as of the end of the current period up to the effective date.
7.7Amounts paid are not refunded, including on cancellation or a downgrade during a period, except as stated in these terms or required by law.
8. Additional terms for agencies
8.1An agency may use GeoReady for its own clients and offer the service under its own name and branding (white label). The agency sets its own price to its clients. The agency is and remains GeoReady's customer; no agreement arises between GeoReady and the agency's clients.
8.2For each client project the agency pays the plan it chooses for that project. All client projects appear as separate lines on one monthly consolidated invoice to the agency. A client project can be cancelled per project, as of the end of the current period.
8.3Pitch packs are prepaid credit for temporary pitch projects. A pitch runs for the number of days and has the limits stated for the pack. Unused credit is not refunded.
8.4The agency ensures its clients use the service in line with these terms, manages its clients' access (client logins) and is the point of contact for their questions. An agency's clients cannot add users themselves.
8.5The agency may hide the GeoReady name in reports and live views. The agency does not use the trademarks of GeoReady or of the AI providers in a way that suggests they endorse the agency or its services.
9. Availability and maintenance
9.1GeoReady makes reasonable efforts to keep the service available 99% per calendar month, excluding scheduled maintenance. Scheduled maintenance takes place outside office hours where possible.
9.2Tracking depends on the APIs of AI providers and other third parties. Outages or changes at those parties are outside GeoReady's control. A tracking run that fails because of such an outage costs no data points; where possible, GeoReady retries it later that day.
9.3Current status is shown at geoready.nl/status.
10. Intellectual property and data
10.1All rights in GeoReady's software, platform, method, documentation and branding remain with GeoReady. For the term of the agreement, the customer receives a non-exclusive, non-transferable right to use the service for its own business and, for agencies, for its clients.
10.2Data the customer enters (business profile, prompts, competitors, notes) remains the customer's. The customer permits GeoReady to use that data to the extent needed to provide the service.
10.3Tracking results consist of answers from third-party AI models and figures derived from them. The customer may freely use reports, exports and figures within its own organization and, for agencies, with its clients.
10.4GeoReady may use data on the use of the service and tracking results in anonymized and aggregated form to improve the service and for its own research and publications, without the customer or any user being identifiable.
10.5GeoReady names the customer or uses its logo as a reference only with the customer's prior consent.
11. Confidentiality and privacy
11.1Each party keeps the other's confidential information secret and uses it only to perform the agreement. This does not apply to information that is already public or that a party is legally required to disclose.
11.2GeoReady processes personal data in line with the privacy policy and, where GeoReady is a processor, the data processing agreement at geoready.nl/en/dpa. GeoReady tracks only public AI answers to public questions and does not process customer data of the customer's own customers.
12. Liability
12.1GeoReady's total liability is limited to direct damage and to the amount the customer paid GeoReady for the service in the 12 months before the event causing the damage. During a free trial, liability is limited to €100.
12.2GeoReady is not liable for indirect damage, including consequential damage, lost profit, lost revenue, loss of goodwill, damage from decisions based on tracking results or actions, and damage caused by outages or changes at AI providers or other third parties.
12.3These limitations do not apply in case of intent or deliberate recklessness on GeoReady's part.
12.4A claim must be reported to GeoReady in writing within 12 months after the customer discovered or should have discovered the damage; after that, the right to compensation lapses.
12.5The customer indemnifies GeoReady against third-party claims, including from an agency's clients, arising from the customer's use of the service in breach of these terms or the law.
13. Term, cancellation and end
13.1A monthly subscription runs per month and renews automatically for another month. An annual subscription runs for a year and renews automatically for another year. The customer can cancel at any time in the app or by email, effective at the end of the current paid period; everything keeps working until then.
13.2Either party may terminate the agreement with immediate effect if the other seriously fails to perform and does not remedy this within 14 days of a written notice of default, or in case of the other's bankruptcy or suspension of payments.
13.3After the agreement ends, the customer has 30 days of read-only access and can export its data. GeoReady then deletes the account and data, except what GeoReady must keep by law, such as invoices.
13.4A customer who deletes the account also cancels the subscription: a running trial stops immediately, a paid subscription at the end of the period.
14. Data portability and switching
14.1The customer can export its data during the term and up to 30 days afterwards in a common, machine-readable format (CSV and JSON), through the app or the API.
14.2If the customer wants to switch to another provider, GeoReady will reasonably cooperate. Support beyond the standard export may be charged at cost, to the extent permitted by law.
15. Changes to these terms
15.1GeoReady may change these terms. GeoReady will announce a change at least 30 days before it takes effect, by email and on this page.
15.2If the customer does not accept a material change to its disadvantage, it may cancel as of the effective date. Continued use after that date means the new version applies.
16. Final provisions
16.1The agreement and these terms are governed by Dutch law. Disputes are submitted to the competent court of the District Court of Rotterdam.
16.2If a provision is invalid, the other provisions remain in force; the parties replace the invalid provision with a valid one that comes as close as possible to its purpose.
16.3GeoReady may transfer the agreement in the event of a takeover or transfer of its business; the customer will be informed. The customer may only transfer the agreement with GeoReady's consent.
16.4Notices by email count as written. Questions about these terms: info@geoready.nl. The Dutch version prevails in case of differences.
